Terms of Service
Clear project rules protect the client, the work and the launch. This page explains the standard terms in plain language.

Agreement and project scope
These terms apply to website design, redesign, strategy, search-foundation and Website Care services provided by Web Respawn. The signed proposal or written scope identifies the exact deliverables, timing and price for a project. If a signed proposal conflicts with these general terms, the signed proposal controls for that project.
Payment schedule
A 50% nonrefundable payment is required before work begins. The remaining 50% is due after final approval and before the new website launches or project files are transferred.
Work may pause when an invoice is overdue. Third-party expenses are not included unless the proposal says otherwise.
Revisions and client responsibilities
Website projects include two reasonable revision rounds unless the proposal states something different. A revision round is one consolidated set of changes to the agreed scope—not a new page, feature or direction.
The client is responsible for timely feedback, accurate business information, rights to supplied content and approvals from any required owner, partner or professional advisor.
Ownership and portfolio use
After full payment, the client owns the completed website and the client-supplied content used in it. Web Respawn retains ownership of reusable methods, internal systems, general code patterns, design processes and tools that were not created exclusively for the client.
Unless agreed otherwise in writing, Web Respawn may display completed work in its portfolio, case studies and marketing.
Domains, email and third-party services
Domain registrations, business email, paid plugins, advertising platforms, booking tools, CRM systems and other third-party subscriptions are separate from the website build unless a proposal expressly includes them.
Those services have their own terms, prices and availability. Web Respawn is not responsible for a third party changing, suspending or discontinuing its service.
Website Care
Website Care is billed month to month. It may be canceled before the next billing date. A processed monthly charge is not prorated or refunded; service continues through the paid period.
After the paid period ends, the website may be transitioned, transferred or taken offline depending on the client’s approved plan and the systems required to operate it. Any outstanding balance must be paid before a transfer.
Search, traffic and business outcomes
Web Respawn builds search-ready, accessible and conversion-conscious foundations, but does not guarantee a ranking position, indexing date, amount of traffic, number of leads, revenue level or business result. Search platforms, competitors, markets and customer behavior change outside Web Respawn’s control.
Warranties and limitation
Services are provided with reasonable professional care. Except where the law does not allow a limitation, Web Respawn is not liable for indirect, incidental or consequential losses, lost profit or losses caused by third-party systems, client-supplied content or unauthorized account access.
