Terms of Service

These terms apply to website design, redesign, strategy, local-search foundation, Google Business Profile support, Website Care and separately approved additions provided by Web Respawn. The signed proposal or written scope identifies the exact deliverables, timing, responsibilities and price. If a signed proposal conflicts with these general terms, the signed proposal controls for that project.

Every new website build includes website-ready brand direction. When the client has no usable logo, the build may include one practical launch-ready website logo or wordmark when the written scope says so. A broader identity system, additional concepts, print material, naming or other collateral requires separate approval.

For a website-only project, the standard payment schedule is a 50% nonrefundable start payment and the remaining 50% after final approval and before launch or release, unless the signed proposal states another schedule. The Business Growth Plan uses the billing schedule and 12-month commitment stated in its signed agreement.

The proposal identifies the website build or monthly plan, Website Care when applicable, known first-year commitment, payment dates and approved third-party subscriptions, advertising budgets or custom additions. Nothing outside the written scope is charged without approval. Work may pause when an invoice is overdue.

Website projects include two reasonable revision rounds unless the proposal states something different. A revision round is one consolidated set of changes to the agreed direction and scope—not a new page, feature or replacement direction.

The client is responsible for timely feedback, accurate business information, access needed for the approved work, rights to supplied content and approvals from any required owner, partner or professional advisor. A delay in those inputs may move the schedule.

After all applicable project obligations and balances are completed, the client owns the approved client-specific content, design and custom website code deliverables identified in the signed proposal. The client should control its domain and business accounts. Third-party components, software, fonts, stock assets and licensed services remain governed by their own terms.

Ownership of the completed website does not include perpetual managed hosting, operation or future support. Web Respawn retains reusable methods, internal systems, general code patterns, design processes and tools that were not created exclusively for the client. Unless agreed otherwise in writing, Web Respawn may display completed work in its portfolio, case studies and marketing.

Domain registrations, business email, paid platforms, advertising budgets, booking tools and other third-party subscriptions are separate unless a proposal expressly includes them. Advertising-management pricing does not include the amount paid directly to Google, Meta or another media platform.

Third-party services have their own terms, prices and availability. Web Respawn is not responsible for a provider changing, suspending or discontinuing its service, but can identify a practical next step when that change affects the approved website work.

Website-only builds require Website Care for the initial term stated in the proposal. The public starting point is currently shown on the pricing page, but the signed proposal confirms the exact Care price, start date, update allowance, hosting responsibility and billing schedule for the project. The Business Growth Plan includes its managed Care responsibility inside the monthly price.

A routine Care request is a bounded change to the approved website using its current design and available content. New pages, a new design direction, substantial custom development, original production work, complex integrations and other material additions may require a separate written scope. No added work begins until its cost, responsibility and timing are approved.

After the initial Care term is complete, an eligible client may request a transfer to an independent hosting or support arrangement. All project, Care, third-party and approved transition balances must be paid before transferable files or approved accounts are released. After transfer, the client or its chosen provider becomes responsible for hosting, SSL, security, backups, technical upkeep, forms, integrations and subscriptions.

A request outside a listed package is not automatically excluded. Web Respawn may review it and provide a separate written scope when the request is useful, technically appropriate and supportable. That scope will identify the added deliverables, price, dependencies, responsibility and schedule before the client decides whether to proceed.

Discussion, an estimate or exploratory access does not add a deliverable to an existing agreement. A change becomes part of the work only after it is approved through the process stated in the signed proposal.

Website forms, email delivery, analytics and connected services depend on third-party systems and the receiving inbox. Web Respawn tests the approved path but cannot guarantee that every message, notification or provider response will be delivered without interruption.

Clients and website visitors should not place payment-card data, passwords, medical information or other sensitive records in a standard inquiry form unless a separately approved system is specifically designed for that information.

Web Respawn builds search-ready, accessible and conversion-conscious foundations, but does not guarantee a ranking position, indexing date, amount of traffic, number of leads, revenue level or business result. Search platforms, competitors, markets, client responsiveness and customer behavior change outside Web Respawn’s control.

Services are provided with reasonable professional care. Except where the law does not allow a limitation, Web Respawn is not liable for indirect, incidental or consequential losses, lost profit or losses caused by third-party systems, client-supplied content or unauthorized account access.
